1. Acceptance of Terms
By accessing or using IdeaPorch (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms apply to all users, including those who post ideas, provide feedback, or participate in focus groups and partnerships.
2. Eligibility
You must be at least 13 years old to use IdeaPorch. By using the Platform, you represent and warrant that you meet this age requirement. If you are under 18, you should use the Platform only with the involvement and consent of a parent or guardian.
3. User Accounts
To access certain features, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
We reserve the right to suspend or terminate accounts that violate these Terms or engage in harmful conduct.
4. User Content & Conduct
Your Content: You retain ownership of ideas, feedback, and other content you post. However, you grant IdeaPorch a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content on the Platform.
Prohibited Conduct: You agree NOT to:
- Post content that is illegal, harmful, threatening, abusive, harassing, or defamatory
- Impersonate others or provide false information
- Post spam, advertisements, or solicitations without permission
- Harass, bully, or intimidate other users
- Post content that infringes intellectual property rights
- Attempt to hack, disrupt, or interfere with the Platform's security
- Use the Platform for any illegal purpose
5. Content Moderation
We reserve the right (but not the obligation) to review, edit, remove, or refuse any content that violates these Terms or is otherwise harmful. We may also suspend or terminate accounts of users who repeatedly violate these Terms. Users can report inappropriate content through the Platform's reporting feature.
6. Intellectual Property
Platform IP: IdeaPorch, its logo, and all Platform features (except user content) are owned by IdeaPorch and protected by copyright, trademark, and other intellectual property laws.
Your Ideas: You own your ideas. However, ideas posted on IdeaPorch are visible to the community and may inspire similar concepts. We encourage users to respect each other's intellectual property and collaborate in good faith.
7. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
IdeaPorch does not warrant that the Platform will be uninterrupted, secure, or error-free. We do not endorse or guarantee the accuracy, quality, or validity of user-posted ideas or feedback. You use the Platform at your own risk.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALIDHIVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed $100 USD or the amount you paid to IdeaPorch in the past 12 months, whichever is greater.
9. Indemnification
You agree to indemnify, defend, and hold harmless IdeaPorch and its owners, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your content, or your violation of these Terms.
10. Termination
We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform ends immediately, and we may delete your account and associated data.
11. Changes to Terms
We may modify these Terms at any time. We will notify users of significant changes by posting the new Terms on this page and updating the "Last updated" date. Continued use of the Platform after changes constitutes acceptance of the new Terms.
12. Governing Law
These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Toronto, Ontario.
